Terms of Service Agreement

**Please read these terms carefully before using the dealancer.cloud platform.**
1. Acceptance of Terms
By accessing or using the dealancer.cloud website and services (the "Platform"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree, you must not use the Platform. The Platform is owned and operated by [Your Company Name], a company registered in **Bangladesh**.
**Eligibility:** You must be at least 18 years old to create an account and use the services. By using the Platform, you represent and warrant that you have the right, authority, and capacity to enter into these Terms.
2. User Roles and Services
- **Client:** A user who purchases or hires services from a Freelancer on the Platform.
- **Freelancer:** A user who sells or provides services (called "Deals" or "Gigs") to a Client on the Platform.
- **Deal/Gig:** A service offered by a Freelancer, typically offered at a fixed or hourly rate.
- **Job/Project:** A request posted by a Client for a specific piece of work.
3. Payments, Currency, and Fees
All financial transactions on dealancer.cloud are processed in **Bangladeshi Taka (BDT)** unless otherwise agreed upon.
- **Escrow:** Clients must deposit the full payment for a Deal/Job into the Platform's secure escrow system before work commences. Funds are only released to the Freelancer upon the Client's formal acceptance of the work.
- **Platform Fees:** dealancer.cloud charges a service fee to Freelancers for each transaction successfully completed through the Platform. This fee is clearly deducted from the amount paid into escrow before funds are released to the Freelancer.
- **Withdrawals:** Freelancer funds must be withdrawn using approved local payment gateways. Fees related to withdrawal processing are borne by the Freelancer.
- **Non-Circumvention:** Users agree not to use contact information obtained through the Platform to solicit or make payments outside of dealancer.cloud. Violation of this rule will result in account suspension.
4. Client Obligations
- Clients must provide clear, detailed requirements for all Jobs or Deals purchased.
- Clients must review and respond to work submissions in a timely manner.
- Once a project is marked as complete and funds are released from escrow, the transaction is considered final, and no refunds are typically provided.
5. Freelancer Obligations
- Freelancers must accurately represent their skills, experience, and availability.
- Services must be delivered on time and meet the quality standards specified in the Deal or Job agreement.
- Freelancers must communicate professionally and respond to Client inquiries within a reasonable timeframe.
- Freelancers must adhere to all intellectual property clauses (Section 6).
6. Intellectual Property (IP)
Upon full payment by the Client, the Freelancer grants all intellectual property rights in the final work product to the Client, unless otherwise explicitly agreed upon in writing between the Client and the Freelancer prior to the commencement of the work. The Freelancer retains the right to display the work as part of their portfolio, unless explicitly requested otherwise by the Client.
7. Dispute Resolution
dealancer.cloud is committed to fair mediation. Disputes between Clients and Freelancers regarding a transaction must first be addressed through the Platform's dispute resolution process. If mediation fails, the matter shall be resolved in accordance with the laws of Bangladesh.
8. Limitation of Liability
To the maximum extent permitted by the laws of Bangladesh, dealancer.cloud shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use the services; (b) any conduct or content of any third party on the services; or (c) unauthorized access, use or alteration of your transmissions or content.
9. Governing Law
These Terms shall be governed by and construed in accordance with the laws of **Bangladesh**, without regard to its conflict of law principles. You agree that any legal action or proceedings relating to the use of the Platform will be instituted in the courts located in **Dhaka, Bangladesh**.
